The San Francisco office of Aon is seeking a highly motivated and detail-oriented Vice President to join its market-leading M&A and Transaction Solutions team. This is an outstanding opportunity for a corporate attorney with 3-5 years of M&A experience to transition from private practice into a client-facing advisory role supporting some of the most sophisticated private equity and strategic clients in the market.
This role is a hybrid role, with the flexibility of working both virtually and form our San Francisco office.

As a Vice President you will work alongside senior and junior brokers, underwriters, private equity sponsors, corporate clients and leading law firms to structure and place Representations & Warranties Insurance (RWI) on domestic and cross-border transactions. Key Responsibilities:
- Advise private equity sponsors, strategic buyers and their advisors on transactional risk insurance solutions.
- Review purchase agreements, disclosure schedules, diligence reports and transaction documentation to identify underwriting considerations and coverage issues.
- Coordinate the underwriting process with leading insurance carriers from initial marketing through policy binding.
- Analyze legal and commercial risks associated with mergers and acquisitions across a broad range of industries.
- Draft and negotiate policy terms and facilitate discussions between insurers and transaction parties.
- Manage multiple transactions simultaneously while meeting demanding deal timelines.
- Build and maintain relationships with law firms, investment bankers, private equity firms and corporate clients.
- Support business development initiatives and participate in client presentations, industry conferences and educational seminars.
- Collaborate with colleagues across Aon's global Transaction Solutions platform on domestic and international transactions.
Qualifications:
The ideal candidate must have a strong academic record, excellent analytical and oral communication skills. In addition, the candidate must be a proven self-starter willing to take on a good deal of responsibility with the ability to problem solve and advise clients involved in complex transactions.
- J.D. from an accredited law school.
- 3-5 years of experience practicing corporate/M&A law at a nationally recognized law firm.
- Strong experience negotiating and drafting acquisition agreements and supporting private M&A transactions.
- Effective presentation, reporting and interpersonal skills.
- Excellent analytical skills with exceptional attention to detail.
- Outstanding written and verbal communication skills.
- Ability to thrive in a fast-paced, deadline-driven environment while managing multiple active transactions as part of a team and with minimal direction.
- Strong commercial judgment and an interest in developing relationships within the TS team and wider Aon, as well as developing trust and confidence with clients as well as carrier partners.
- Collaborative, proactive and entrepreneurial mindset.
- Skilled in Microsoft Office, particularly Excel and PowerPoint.
- Ability to attain a Broker's License within 90 days of employment.

- Experience representing private equity sponsors and strategic buyers.
- Exposure to cross-border transactions.
- Interest in insurance, risk management or financial services.

Pay Transparency Laws:
The salary range for this position (intended for U.S. applicants) is $275,000 - $350,000 annually. The actual salary will vary based on applicant's education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant's geographic location.
This position is eligible to participate in one of Aon's annual incentive plans to receive an annual discretionary bonus in addition to base salary. The amount of any bonus varies and is subject to the terms and conditions of the applicable incentive plan.
