Summary/Objective

Provide legal advice and risk management counseling on a variety of legal and compliance issues, including corporate and commercial transactions, dispute resolution, litigation management, corporate governance and regulatory affairs.

Essential Functions

· Provide legal advice and risk management counseling to the insurance division and to other business units and shared service departments as needed - including with regard to insurance regulation and compliance, commercial transactions, data privacy and security matters, intellectual property matters, and dispute resolution and litigation.

· Oversee insurance regulatory compliance function, including supervision of compliance professionals, to ensure that all insurance regulatory requirements are met, including holding company compliance, financial or market conduct examinations, product and operational compliance.

· Draft, review, negotiate, and assist in the management of commercial agreements for the insurance division, including reinsurance treaties and agency agreements, and for various business units and shared services departments as needed.

· Assist with corporate transactions, including M&A, divestitures, and including handling due diligence, as well as drafting and negotiating letters of intent, term sheets and definitive agreements.

· Assist with the management of the corporate governance process, including entity management, and board/committee meeting preparations.

· Perform other and additional tasks as requested by the President, General Counsel, or internal clients.

Position Type/Expected Hours of Work

This is a full-time position, required to work at least five days a week for at least 40 hours.

Travel

As necessary.

Required Education and Experience

- JD from an accredited law school with proven academic success

- Admission (or eligibility to gain in-house counsel exemption) to the Florida Bar

- 5+ years of legal experience with demonstrated progressive responsibility

- 3+ years of regulatory or compliance experience in property and casualty insurance

- Significant experience advising sophisticated business clients with respect to complex transactions, whether in a transactional or litigation role

- Excellent demonstrated business judgment and strategic thinking skills

Preferred Education and Experience

· Experience in both large law firm and in-house environments

· Experience managing attorneys and non-attorneys

· Experience in corporate governance and board-level communications

· Experience in managing complex litigation and related cost-control efforts
